Governance Structure

Athisya Foundation is governed by a Board of Directors in accordance with its Articles of Association, filed under the Companies Act, 2013. The Board is responsible for strategic oversight, statutory compliance, and ensuring funds are used solely for the Foundation's charitable objectives.

Financial Accountability

• Annual accounts are maintained and subject to statutory audit as required under the Companies Act, 2013.

• All donations received are recorded, utilized strictly for charitable purposes, and reported in compliance with applicable Income Tax and Companies Act provisions.

• The Foundation does not currently hold FCRA registration and does not accept foreign contributions until such registration is obtained.

Non-Distribution of Profits

As mandated under Section 8 of the Companies Act, 2013:

• All income and profits of the Foundation are applied solely toward its charitable objectives.

• No dividend, bonus, or profit is distributed to any director or member.

• Upon dissolution, any remaining assets shall be transferred to another organization with similar charitable objectives, not to individual members, subject to Tribunal approval.
